Terms & Conditions for Consolidated Ink, LLC

Effective Date: October 23, 2025

This Hybrid Terms & Conditions consolidates the readability of the public-facing version with the full legal protection of the master agreement. It governs the relationship between Consolidated Ink, LLC (“CI,” “we,” “us,” or “our”) and any customer, client, or visitor (“you,” “your”).


1. Acceptance of Terms

By using consolidatedink.com (the “Site”) or placing any order, you agree to these Terms. If you do not agree, do not use our Services. You may not use our Services if you are under 18 years of age without parental or guardian consent.


2. Accounts & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify CI immediately of unauthorized use or security breaches. We may suspend or terminate accounts for misuse or fraudulent activity.


3. Orders for Custom Products

All Consolidated Ink products are custom-made. You retain ownership of any artwork or designs you submit but grant CI a limited, worldwide, royalty-free license to reproduce, modify, and manufacture your designs solely to fulfill your order.

3.1 Design Submission & License

By submitting designs, you grant CI a non-exclusive, transferable, sublicensable license to use them for production, marketing (if consented), and portfolio purposes.
Marketing use requires explicit opt-in and can be revoked at any time.

3.2 Your Representations

You represent and warrant that you own or have rights to all submitted content and that it does not infringe on any third-party rights. You agree to indemnify CI against any claims, damages, or expenses arising from misuse or infringement.

3.3 Prohibited Use

You agree not to use our Services to produce or distribute unlawful, obscene, defamatory, or infringing materials. CI reserves the right to refuse or cancel any order at its discretion.

3.4 Proofs, Samples & Approvals

Digital proofs will be provided for your review and approval. Colors and materials may vary slightly due to manufacturing processes. Physical samples may be requested before production.
Once approved, proofs are binding. Post-approval changes may result in additional costs or production delays.

3.5 Timelines

Production begins only after payment and proof/sample approval are received, unless otherwise specified in writing. Timelines are estimates and may vary due to supply chain, vendor, or carrier delays.

3.6 Shipping, Title & Risk of Loss

Orders ship FOB Origin – Westlake Village, CA. Title and risk of loss transfer to you once the carrier picks up the shipment. Inspect goods upon delivery and report issues within the claims window described in Section 6.


4. Pricing, Taxes & Promotions

All prices are in U.S. dollars and subject to change until artwork and quote approval. Applicable taxes, duties, and shipping costs will apply unless otherwise stated.
Promotional codes are single-use, non-transferable, and may be modified or withdrawn at any time.


5. Cancellations & Refunds (Custom Orders)

Because all products are custom-made, refunds and cancellations depend on the production stage:

  • Proof Stage: 100% refundable.

  • Sample Stage: Refund minus $100 or 20% (whichever is lower) to cover materials and labor.

  • Production Stage: 40% refundable; 60% non-refundable once materials and labor are committed.

  • After Shipment: Non-refundable, except under our Satisfaction Guarantee (Section 6).


6. Satisfaction Guarantee & Claims Window (45 Days)

If your items arrive defective, damaged, short, or materially different from your approved proof or sample, contact us within 45 days of delivery at info@consolidatedink.com with photos and a brief description of the issue.

After review, CI may repair, replace, or credit affected items at our discretion. Claims submitted after 45 days of confirmed delivery are not eligible for coverage.


7. Net-30 Terms & Purchase Orders

Approved business customers may receive Net-30 payment terms. Invoices are due 30 days from issue date. A 1.5% monthly finance charge applies to late payments.
CI may suspend future orders for delinquent accounts. Title remains with CI until full payment is received.


8. Chargebacks & Abuse

Unauthorized chargebacks for valid, custom-manufactured goods constitute breach of contract and may be treated as fraud.
CI reserves the right to dispute chargebacks, recover associated fees, and pursue legal remedies for repeated or abusive behavior.


9. Payment Methods & Security

CI accepts credit/debit cards, ACH transfers, wire transfers, and approved purchase orders. Payments are processed through PCI-compliant gateways.
CI does not store or retain full card details after processing.


10. Intellectual Property — Site & Materials

All content, text, graphics, and materials on the Site (excluding Your Content) are the property of CI or its licensors. You may not copy, reproduce, or distribute any portion of the Site or its content without CI’s prior written consent.


11. Third-Party Links & Tools

The Site may include links or integrations with third-party services. CI is not responsible for the content, functionality, or data practices of these third parties.
Please review their terms and privacy policies before using their services.


12. DMCA / IP Complaints

If you believe your intellectual property has been infringed, contact us at info@consolidatedink.com with:

  • Your contact information,

  • A description and URL of the infringing content, and

  • Your electronic or physical signature.

We will promptly review and respond in accordance with the Digital Millennium Copyright Act (DMCA).


13. Disclaimer of Warranties

The Site and Services are provided “as is” and “as available.”
CI makes no representations or warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.


14. Limitation of Liability

CI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising out of or relating to your use of our Services.
Total liability for any claim shall not exceed the amount paid for the specific order giving rise to that claim.


15. Indemnification

You agree to indemnify, defend, and hold harmless CI, its affiliates, officers, employees, and agents from and against any claim, damage, loss, or expense arising from your use of our Services, submitted content, or breach of these Terms.


16. Termination & Suspension

CI may suspend or terminate your access or cancel orders for non-payment, fraud, or violation of these Terms.
Sections relating to warranties, limitations of liability, and indemnification will survive termination.


17. Changes to These Terms

CI may modify these Terms at any time. Updated versions will be posted on this page with a new Effective Date.
Continued use of the Site or Services constitutes acceptance of the revised Terms.


18. Governing Law & Venue

These Terms are governed by the laws of the State of California.
You agree to exclusive jurisdiction and venue in the courts of Los Angeles County, California for any dispute not resolved informally.


19. Assignment

You may not assign or transfer your rights or obligations under these Terms without CI’s written consent.
CI may assign its rights or obligations as part of a merger, acquisition, or business restructuring.


20. Severability; Entire Agreement; No Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full effect.
These Terms constitute the entire agreement between you and CI and supersede all prior communications.
Failure to enforce any right or provision shall not constitute a waiver.


21. Export & Sanctions Compliance

You agree to comply with all applicable U.S. export control and sanctions laws when ordering, distributing, or reselling products internationally.

Exhibit A — Color, Material & Manufacturing Tolerances

Minor variations in color, hue, texture, or size are normal and expected in the manufacturing process.
Pantone color matching is approximate. Embroidery, PVC, enamel, and casting processes may involve standard industry tolerances.
